These Terms and Conditions (“Terms”) govern your use of the platforms, websites, APIs, code libraries, and software tools provided by NextOnus Software (“NextOnus,” “we,” “our,” or “us”). By accessing our services, you agree to be bound by these Terms.

1. Service Licensing & Access

NextOnus grants you a limited, non-transferable, revocable license to access our platform interfaces strictly in accordance with these Terms and any accompanying EULA agreements. You must not attempt to reverse engineer, extract compiler paths, or circumvent api usage caps.

2. Account Responsibility

You are solely responsible for protecting credentials associated with your NextOnus accounts. All actions performed on our systems using your credentials (including database write requests, model allocations, or cluster provisions) are attributed directly to your organization.

3. Billing, Fees & Subscriptions

Platform usage is charged on a monthly subscription or resource consumption basis, as specified in your product licensing contract. Overdue payments will result in temporary suspension of cluster instances, vector databases, or API request gateways until payment is resolved.

4. Intellectual Property

Unless explicitly specified in a co-building transition contract:

• NextOnus retains all proprietary rights, trademarks, core code foundations, and patents related to our products (including Atlas, Mesh, and Forge).
• Custom integrations or co-built software transition scopes are governed by their respective spin-out transition agreements.

5. Disclaimer of Warranties

NextOnus platforms are provided on an “as is” and “as available” basis. We disclaim all representations or warranties of any kind, whether express, statutory, or implied, including the implied warranties of merchantability, uptime performance, or fitness for a particular purpose.

6. Governing Law

These Terms shall be governed by, construed, and enforced in accordance with the laws of the State of California, United States, without reference to conflict of laws principles. Any legal actions must be resolved in state or federal courts located in San Francisco, California.
