End User License Agreement

This End User License Agreement (“Agreement”) is a binding legal contract between you (either an individual or a single legal entity) and NextOnus Software (“NextOnus”) for the licensing and usage of our downloaded software packages, CLI runtimes, compiler binaries, and IDE integrations (collectively, the “Software”).

1. License Grant

Subject to your compliance with this Agreement and payment of all license fees, NextOnus grants you a non-exclusive, non-sublicensable, non-transferable, revocable license to install, run, and execute the Software binaries on hardware owned or controlled by your organization.

2. Restrictions on Use

Under this license, you must NOT, nor permit any third party to:

  • Reverse engineer, disassemble, decompile, or otherwise attempt to derive the raw source code or underlying neural network model weights from the Software.
  • Modify, translate, adapt, or create derivative works based upon the Software.
  • Bypass or disable any security keys, licensing trackers, or usage limit locks in the CLI toolchain.
  • Rent, lease, lend, or host the Software as a service bureau for third parties.

3. Ownership of Software

The Software is licensed, not sold. NextOnus retains all title, copyrights, trademarks, and intellectual property rights in and to the Software, including any documentation, code templates, and update binaries we provide.

4. Audit Rights

NextOnus reserves the right, upon ten business days' notice, to audit your organization's deployment of our Software to verify compliance with active license parameters. If an audit reveals unlicensed active endpoints or seats, you agree to immediately resolve the payment discrepancy.

5. Termination

This Agreement terminates immediately if you breach any restriction or fail to pay active licensing fees. Upon termination, you must cease all use and permanently delete all copies of the licensed Software from your hardware, networks, and containers.
